Terms of Sale
These Terms of Sale apply to services provided by Aivot LLC ("Aivot") to business clients. They complete, and are superseded by, any signed services agreement or statement of work between the parties.

1. Parties
Provider: Aivot LLC, 1309 Coffeen Ave Ste 1200, Sheridan, WY 82801, USA, reachable at contact@aivot.agency. Client: the business entity ordering the services.
2. Services
Aivot provides recruitment, staffing and related administrative management services. The exact scope, deliverables and duration are defined in the quote or statement of work accepted by the Client.
3. Orders
A quote becomes binding once accepted in writing by the Client. Quotes are valid for the period stated on them; absent a stated period, for thirty (30) days.
4. Fees and payment
Fees are those stated in the accepted quote, exclusive of any applicable taxes. Unless agreed otherwise, invoices are payable within thirty (30) days of the invoice date. Late payments may accrue interest at the maximum rate permitted by applicable law, plus reasonable collection costs. TODO — confirm payment terms, currency and late-fee rate.
5. Client obligations
The Client agrees to provide, in a timely manner, the information, access and decisions Aivot needs to perform the services, and to designate a point of contact for the engagement.
6. Term and termination
Either party may terminate an engagement on the notice period stated in the applicable statement of work. Services performed up to the effective termination date remain payable.
7. Confidentiality
Each party will keep confidential the non-public information disclosed by the other in connection with the services, and will use it solely for the purpose of the engagement. This obligation survives termination.
8. Non-solicitation
TODO — define whether and for how long the Client may directly hire candidates introduced by Aivot, and any associated conversion fee.
9. Warranty and liability
Aivot performs the services with reasonable skill and care. To the fullest extent permitted by law, Aivot's aggregate liability arising from an engagement is limited to the fees paid by the Client for that engagement, and neither party is liable for indirect or consequential damages.
10. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The parties will first attempt to resolve any dispute amicably; failing that, the state and federal courts located in Wyoming have exclusive jurisdiction.
